Terms of Service

1. Agreement to Terms

By accessing or using Rev Room ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Rev Room is operated by NZ Brandz Limited, a company registered in New Zealand. It is an advanced analytics dashboard for Shopify merchants that combines store data with advertising platform insights to maximise profitability. The Service integrates with various third-party platforms including Shopify, Facebook Ads, Google Ads, and TikTok Ads.

2. Description of Service

Rev Room provides the following services:

• Comprehensive analytics dashboard combining Shopify store data with advertising platform metrics
• Multi-platform integration with Facebook Ads, Google Ads, and TikTok Ads
• Profit analysis including true profit calculations with all costs and expenses
• Growth recommendations based on e-commerce industry benchmarks
• Advanced reporting including detailed analytics, product performance, and customer lifetime value analysis

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate, current, and complete
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Third-Party Integrations

The Service integrates with third-party platforms and services. By connecting your accounts to these platforms, you:

• Authorize Rev Room to access and retrieve data from your connected accounts
• Agree to comply with the terms of service of each third-party platform
• Understand that Rev Room is not responsible for the availability, accuracy, or content of third-party services
• Grant Rev Room permission to store and process data from your connected accounts for the purpose of providing analytics and insights

You may disconnect any third-party integration at any time through your account settings.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your information.

You retain all rights to your data. We use your data solely to provide the Service and will not sell your data to third parties. You may request deletion of your data at any time.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems to access the Service without permission
• Reproduce, duplicate, copy, sell, or exploit any portion of the Service without express written permission
• Use the Service to transmit any viruses, malware, or harmful code

7. Intellectual Property

The Service and its original content, features, and functionality are owned by NZ Brandz Limited (trading as Rev Room) and are protected by copyright, trademark, and other intellectual property laws.

You may not modify, reproduce, distribute, create derivative works, publicly display, or publicly perform any content from the Service without our prior written consent.

8. Service Availability

We strive to provide reliable service but do not guarantee that the Service will be available at all times. The Service may be unavailable due to:

• Scheduled maintenance
• Unforeseen technical issues
• Third-party service outages
• Force majeure events

Subject to Section 15 (Governing Law & Consumer Rights), we are not liable for any damages resulting from Service unavailability.

9. Disclaimer of Warranties

Except for guarantees, rights, and remedies that cannot be excluded under applicable consumer law (see Section 15), the Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, and subject to Section 15, Rev Room shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless NZ Brandz Limited and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any rights of another.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by uninstalling the app or contacting us.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification to registered users (for significant changes)

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Fees & Subscription

Rev Room is a paid subscription billed through Shopify:

• Price: US$19.95 per month, charged via the Shopify Billing API and shown on your regular Shopify invoice.
• Free trial: new accounts receive a 14-day free trial. You are not charged during the trial, and if you cancel before it ends you are not charged at all.
• Renewal: the subscription renews automatically every 30 days until cancelled.
• Cancellation: you can cancel any time by uninstalling Rev Room from your Shopify admin (Settings → Apps and sales channels). Uninstalling immediately cancels the recurring charge, so you are not billed again.
• Refunds: Shopify bills in 30-day cycles and does not pro-rate partial periods, so cancelling stops future charges but the current cycle is not automatically refunded. If you believe you were billed in error, contact us at hello@revroom.app and we'll help.

Pricing may change with reasonable notice; any change will be reflected on our listing and will apply to the next billing cycle.

15. Governing Law & Consumer Rights

These Terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the New Zealand courts.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you may have under the New Zealand Consumer Guarantees Act 1993 or Fair Trading Act 1986, or — for users in Australia — the Australian Consumer Law, where those rights cannot lawfully be excluded. Where our liability cannot be excluded but can be limited, it is limited to the maximum extent permitted by law.

17. Entire Agreement

These Terms constitute the entire agreement between you and NZ Brandz Limited (trading as Rev Room) regarding the Service and supersede all prior agreements and understandings, whether written or oral.
